Clinician Terms of Use

1. DEFINITIONS
“Company” means Traumalis, LLC, a Georgia limited liability company.
“Service” means the software-as-a-service platform provided by Company.
“Clinician” means a licensed healthcare professional, or a pre-licensed professional practicing under a licensed supervisor, whom Customer employs or engages and authorizes to use the Service.
“Customer” means the healthcare organization that has a Master Service Agreement with Company and has authorized you to use the Service.
“Patient” means individuals receiving care from Customer’s Clinicians using Service.
“PHI” means Protected Health Information as defined under HIPAA.
2. ACCEPTANCE
By creating an account or using the Service, the Clinician (“you”) agree to these Terms of Use.
3. ACCOUNT RESPONSIBILITIES
3.1 Account Security: You are responsible for maintaining account confidentiality and all other activities under your account.
3.2 Authorized Access: Your access is provided through your healthcare organization’s subscription.
4. PROFESSIONAL USE REQUIREMENTS
4.1 Licensed Practice: You must be a licensed healthcare professional, or a pre-licensed professional practicing under a licensed supervisor, to use the Service. You may only provide access to the Service with Patients receiving treatment at Customer. You must be appropriately licensed, or authorized to practice under supervision, in the state in which you will provide the services and in the state in which each patient is located at the time of the provision of such services.
4.2 Clinical Discretion: You decide whether the Service is appropriate for each Patient, including Patients under 18, and how its use is supervised. Use the Service only as part of your care of that Patient.
4.3 Professional Judgment: You maintain full responsibility for all clinical decisions and overall patient care, including but not limited to psychiatric diagnoses, treatment planning, and therapeutic decision-making.
5. CLINICAL LIMITATIONS
5.1 Supplementary Tool: The Service, including its AI guide, supports your care. It does not provide therapy, diagnose, or make clinical decisions, and it does not replace your professional judgment. AI-generated responses may be inaccurate, so review a Patient’s results before relying on them.
5.2 No Emergency Use: Do not use the Service for emergency or crisis situations or to aid in making urgent medical decisions.
6. DATA AND PRIVACY
6.1 Patient Information: Follow all applicable privacy laws and your organization’s policies regarding patient information.
6.2 Patient Anonymity: Do not enter, or ask a Patient to enter, any Patient’s name, contact details, date of birth, record number or other identifying information in the Service. Keep the record of which access code you gave to which Patient in Customer’s own records, and never send it to Company.
6.3 Professional Confidentiality: Maintain patient confidentiality in accordance with professional standards.
7. PROHIBITED ACTIVITIES
You may not: (a) share account credentials; (b) use the Service outside your practice with Customer; (c) attempt to circumvent usage limitations; (d) copy, modify, reverse engineer or create derivative works of the Service, including its software, game, content, AI prompts or protocol materials; (e) use the Service, or any non-public information about it, to build, offer or help anyone build a competing product or service; or (f) violate any applicable laws or regulations.
7.1 Ownership and Confidentiality: Company owns the Service and everything in it. Non-public information you see through your access, including AI prompts, scripts, game design and protocol parameters, is Company’s confidential information. Keep it confidential and use it only to care for Customer’s Patients.
8. DISCLAIMER
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES. COMPANY DISCLAIMS ALL WARRANTIES REGARDING CLINICAL ACCURACY, COMPLETENESS, OR SUITABILITY FOR SPECIFIC MEDICAL PURPOSES.
9. INDEMNIFICATION
You agree to indemnify Company against claims arising from your breach of Section 6.2 or Section 7.
10. ADDITIONAL POLICIES
Your use of the Service is also governed by our Facility Privacy Notice, which is incorporated herein by reference and forms part of these Terms of Use.
If these Terms of Use conflict with Customer’s Master Service Agreement with Company, the Master Service Agreement controls.
11. SURVIVAL, CHANGES AND GOVERNING LAW
Sections 6.2, 7, 8 and 9 continue to apply after your access ends, including after you stop working with Customer. Company may update these Terms of Use, and you will be asked to accept the new version the next time you sign in. These Terms of Use are governed by the laws of the State of Georgia. Company may seek an injunction in any court of competent jurisdiction to stop a breach of Section 7.
